Tata Motors' takeover bid for Iveco clears 80% acceptance threshold

Tata Motors' bid for Italian truck maker Iveco reached 87.8% acceptance on the final day of the offer, clearing the 80% threshold, an Italian stock market filing showed.

India’s Tata Motors has cleared the key hurdle in its takeover bid for Italian truck maker Iveco, with acceptances reaching 87.8% on the final day of the offer.

The bid cleared the 80% acceptance threshold, according to an Italian stock market filing reported by Reuters on Monday. The threshold had been lowered from 95% at an Iveco extraordinary general meeting on 16 October, The Week reported.

The tender offer opened on 7 September. Tata Motors raised the offer price to €14.40 per share from €14.10 on 9 October, Reuters reported.

Tata Motors agreed last year to buy Iveco’s commercial vehicle business in a deal valued at €3.8 billion, Reuters said. The deal was first announced in July 2025, according to The Week, and Tata Motors had already secured regulatory approvals including from Italy’s securities regulator Consob.

Clearing the threshold keeps the €3.8 billion acquisition on track to close, giving the Indian car and truck maker a much larger foothold in Europe’s commercial vehicle market, where Iveco is an established manufacturer.
